BOI REPORTING REQUIREMENTS ON HOLD FOR NOW
Message from Artesia Chamber of Commerce.
As a January 1, 2025 deadline loomed over the heads of small business owners to comply with a federal Corporate Transparency Act (CTA) Beneficial Ownership Information (BOI) reporting requirement, a federal court in Texas halted the implementation earlier this week. The preliminary injunction came down Tuesday, December 3, 2024, claiming that the CTA requirement may be unconstitutional.
The injunction means that businesses are not obligated to comply with the reporting requirements unless and until an appellate court overrules the ruling.
Until this week, most U.S. businesses, including corporations, LLCs, s-corps, and other entities, were required to file their (BOI) with the Financial Crimes Enforcement Network (FinCEN) under the Corporate Transparency Act. The mandate aimed to enhance efforts against money laundering and other financial crimes, with penalties reaching up to $10,000 for non-compliance.
Stay tuned for developments and check with your accounting or legal advisors. If you would like to read more on CTA requirements, visit https://www.fincen.gov/boi.
